About These Terms and Your Acceptance

These Terms of Service ("Terms") govern your use of the Test Equipment Direct site and any order you place with us. By using, browsing or buying through the site, you confirm that these Terms and our Privacy Policy have been read, understood and accepted in full. If any part of them does not sit right with you, we ask that you refrain from using the site. These Terms reach every person who touches the site, whether you arrive as a shopper, a supplier, a merchant, a browsing guest or someone adding content.

Eligibility and Account Security

You need to be 18 or older to register an account or send us an order. Where you choose to register, the following rest with you:

Keeping your sign-in credentials confidential and protected.
Any action carried out under your account.
Letting us know without delay when you think someone has reached your account without approval.

We hold the right to decline service, close an account or void an order whenever we judge it necessary.

Acceptable Use of the Site

The site is here for lawful and honest use only. You agree that you will not:

Handle the site in any way that breaks a local, state, federal or international law or regulation.
Reach for restricted areas of the site, the accounts of other people or any linked system you have no right to enter.
Hinder or break the normal operation of the site or the servers behind it.

Instrument Listings and Prices

We put real effort into showing correct descriptions, images and prices for the test and measurement instruments we carry. Even so, we do not represent that every listing, specification, color or other detail is fully accurate, complete or free of mistakes.

Prices are shown in United States Dollars (USD) and may move up or down without notice beforehand.
We reserve the right to correct a pricing mistake at any point, including after an order reaches us.
Where a price looks wrong, we get in touch first so you can carry on at the corrected figure or step away from the order.

Placing and Reviewing Orders

Sending an order counts as an offer from you to buy. Acceptance rests with us, and we may take on or turn away any order for reasons that include the following:

Stock for the item running short
An error in the listing details or the price
Signs pointing to a fraudulent or unapproved transaction
Orders that read as though a dealer, reseller or wholesale buyer placed them

Should we void an order, we will tell you and send the full amount back to the method you paid with. The steps behind our refunds sit in our Refund & Return Policy. Where the site holds a typographical slip, an inaccuracy or a gap around product descriptions, pricing, promotions, offers, shipping charges, transit times or availability, we reserve the right to put such errors right and to change or cancel an order at any time, with no notice in advance, where information on the site or a related service turns out to be incorrect.

Payment and Accepted Methods

The full order total is authorized when you place an order and captured once the order passes verification. The methods we take are: American Express, Apple Pay, Diners Club, Discover, Google Pay, MasterCard, PayPal, Shop Pay, Visa. We handle every transaction in United States Dollars (USD), and any applicable taxes are calculated and displayed at checkout before you confirm your order. When you enter payment details, you state that the chosen method is yours to use and that the information you supply is correct. You also give us permission to charge the full order total to that method.

Shipping and Delivery

Once an order is accepted, we arrange for the instruments to reach the address you provide. Delivery windows, carriers and any conditions that apply are laid out in our Shipping Policy, which forms part of these Terms. Please read it before you order so the timing and coverage are clear.

Returns and Refunds

If an item needs to go back or a refund is in order, the process, the eligible time frame and any conditions are set out in our Refund & Return Policy. That policy works alongside these Terms and governs how returns and refunds are handled.

Content, Tools and Intellectual Property

Should you send material at our request (contest entries are one example) or share ideas, feedback, proposals, plans or other content of your own accord through forms, email, postal mail or any other route (together, "comments"), you give us an open-ended and lasting right to edit, reproduce, publish, distribute, translate and put those comments to use in any medium. We carry no duty to (1) hold any comment in confidence; (2) pay anything for a comment; or (3) answer a comment. You state that your comments will not tread on the rights of any third party, taking in copyright, trademark, privacy or other personal or proprietary rights, and that they will carry nothing defamatory, unlawful, abusive or obscene, nor any virus or harmful code able to disrupt this service or a related site.

At times we may open up third-party tools that fall outside our oversight, control or input. Such tools come to you "as is" and "as available", carrying no conditions, representations or endorsements from us. Nothing that follows from your use of these optional tools rests on us, and any use you make of them is taken on at your own risk.

The material on this site, taking in text, graphics, logos, images, product descriptions and software, is owned by Test Equipment Direct or the suppliers who provide that content, and it is protected under United States and international copyright, trademark and intellectual property law. Reproducing, sharing, altering, publicly showing or otherwise drawing on any part of this site is not allowed unless we grant written permission first.

Limitation of Liability

As far as the law permits, Test Equipment Direct together with its officers, directors, employees and agents will not carry liability for indirect, incidental, special, consequential or punitive damages that stem from:

Your use of, or your inability to use, the site
Any instrument bought through the site
Unapproved access to or change of your data
The conduct or content of any third party on the site

Whatever the claim tied to your use of the site or a purchase, our total liability will not rise above the sum you paid for the specific item or items the claim rests on.

Indemnification

You agree to indemnify, defend and hold harmless Test Equipment Direct, alongside its parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, against any claim or demand, including reasonable attorneys' fees, raised by a third party on account of your breach of these Terms, your use of the site or your violation of any law or third-party right.

Disputes and Governing Law

The laws of the State of New York govern these Terms and guide how they are read, leaving aside conflict of law rules. Before any legal action begins, you agree to try for an informal resolution by writing to us at support@testequipmentdirect.com. We will put a good-faith effort into settling the matter within 30 days. Where the informal route falls short, both sides agree to binding arbitration in the State of New York, unless the law bars it. General Provisions

Where a provision of these Terms is judged unlawful, void or unenforceable, that provision is read as separable and leaves the validity and enforceability of the remaining provisions intact. These Terms stay in force until one side brings them to an end. You may close them out whenever you wish by telling us you no longer want our services or by simply stepping away from the site. We may likewise end or suspend your access at any moment, with no notice in advance and no liability, where in our sole judgment you breach a term or condition here. After termination, every provision meant by its nature to carry on remains in effect, ownership, disclaimers, indemnification and limits on liability among them.

These Terms, set next to any policy or operating rule posted on the site or attached to the service, stand as the whole agreement between you and Test Equipment Direct, and they take the place of any earlier or present agreement, communication or proposal, spoken or written. We may revise these Terms at any time and without notice in advance. A change takes effect the moment it appears on the site, and carrying on with the site after a change is posted signals that you accept the revised Terms.
